Appigo Todo iPhone App Developer Contest Official Rules

These rules (including the Appigo Privacy Policy) govern the Appigo Todo iPhone App Developer Contest (the "Contest") and set out the terms and conditions between Appigo, Inc. and its affiliates ("Appigo" or "us/we") and each participant ("participant" or "you").

No purchase is necessary for entering the Contest. Appigo's Todo Lite, a freely available iPhone app which has the same third party integration as Appigo's full version of Todo, may be used to develop applicable solutions needed for submitting an iPhone app for consideration in the Contest.

If you contribute to the Contest or if you accept any Contest prizes, you accept these rules.

Eligible Countries

The Contest is open to eligible participants from the United States, Canada, Australia, Austria, Belgium, Brazil, Denmark, Finland, France, Germany, Greece, Hong Kong, Iceland, India, Indonesia, Ireland, Italy, Japan, Korea, Liechtenstein, Luxembourg, Malaysia, Mexico, the Netherlands, New Zealand, Norway, People's Republic of China, Philippines, Portugal, Russia, Singapore, Spain, Sweden, Switzerland, Taiwan, Thailand, the United Kingdom, and Vietnam (collectively, "Countries"). Residents of countries under U.S. embargo are not eligible to enter. The Contest is void wherever else it is restricted or prohibited by law.

Eligible Participants

The Contest is open to individuals or companies who:

• Have legally released one or more app/apps on the Apple iTunes App Store with distribution of the app(s) available in the United States.
• Are legal residents of one of the Countries and/or have a principal place of business in one of the Countries.
• Comply with these Contest rules.

Employees, contractors, agents of Appigo, its affiliates, subsidiaries, advertising and promotion agencies, and their immediate family members and/or those living in the same household are not eligible to participate in the Contest.

Contest Duration

Appigo has extended the deadline of the Contest to a later date this year. The updated deadline will be announced on the Appigo Developer Contest page and also in a Google Group for Appigo Developer Announcements.

Judging

Applications will be judged by a qualified panel of judges appointed by Appigo at Appigo's sole discretion, which may include, but is not limited to, owners and/or employees of Appigo. The decisions of the judges are final in all respects.

Eligible Entries

The Contest is only open to apps that have been made publicly available on the United States version of Apple's iTunes App Store prior to the Contest's Closing Date. All submitted applications must use the iPhone OS 3.0 SDK or newer and be available in English.

Entries cannot be submitted more than once by two independent companies/individuals. Such entries will be disqualified. An entry may be re-submitted for corrective reasons, so long as it meets all rules herein and is submitted by the same individual/entity before the Closing Date.

Entries must include five (5) valid iTunes App Promo codes. Entries must also be accompanied by any registration codes, activation codes, and/or demo accounts as necessary for Appigo to properly judge the application.

If the contest entry requires special hardware to function properly, please notify Appigo at devprogram@appigo.com at least 2 weeks prior to the Closing Date and arrange to mail or courier it to:

All mailed or couriered items must be received at least 72 hours prior to the Closing Date. Any hardware or other items shipped to Appigo via courier or mail received after this deadline, will be disqualified, no exceptions. All special contest entry items sent to Appigo at the above address become the property of Appigo without monetary or compensation to the participant(s), and will not be returned.

Submission Instructions

All entries must enter their submissions before the Closing Date using the instructions on the Contest's submission page at: http://www.appigo.com/developer/contest/submit

Participants must follow the instructions posted on the submission page.

Winner Notification

Winners will be announced on the Contest website and by other means as deemed appropriate by Appigo. At Appigo's discretion, winners may be notified by email or telephone prior to the public announcement of the Contest results. Prizes are nontransferable. Winners are responsible for all applicable taxes. In the event that the original eligible participant is not available for accepting a prize, an alternate winner will be chosen. The prizes are subject to Appigo's receipt of a signed CONTEST ELIGIBILITY, PUBLICITY CONSENT, AND COMPLIANCE STATEMENT from the Winner which includes but is not limited to a representation and warranty that the Winner is the rightful owner of the Contest entry and has not infringed on any third party rights.

Discretion to Disquality

Appigo reserves the right to disqualify any Contest entry for any reason. Eligible participants will not be notified if their entry is disqualified.

Warranty and Indemnification

By entering, participants hereby release and agree to hold harmless Appigo, its affiliates, subsidiaries, participating advertising and promotion agencies, technology and website development partner companies and employees of these companies (collectively "Releasees") from and against any and all rights, demands, claims, causes of action whatsoever that they may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any damage, injury, loss whether direct, compensatory, incidental or consequential, to person including death and property, arising in whole or in part, directly or indirectly, from their acceptance of the Prize, their entry in the Contest or their participation in any prize related activity. By entering, participants grant permission for their names, app names, app descriptions, likeness, statements, entry and biographical information to be used without limitation or further compensation, for advertising and publicity purposes and on website at http://www.appigo.com/developer except where prohibited by law. Releasees are not responsible for any lost, stolen or otherwise unaccounted for entries, and or misdirected, illegible, incomplete, delayed or damaged entries. Releasees are not responsible for any human, printing, typographical or other error in the Contest Official Rules and other materials posted on the website or in the administration of the Contest. Neither Appigo nor its affiliates warranty the availability of the Contest website or other services used in the administration of the Contest and no adjustments shall be guaranteed due to interruptions of these services during the course of the Contest.

To the extent permitted by law, the rights to litigate, to seek injunctive relief or to make any other recourse to judicial or any other procedure in case of disputes or claims resulting from or in connection with this Contest are hereby excluded, and any participant expressly waives any and all such rights.

Exclusion of Liability

Appigo and its affiliates shall not be held liable for any of the following:

• Internet connection problems with the contest website, rules, submission site, etc.
• Delays such as Apple's iPhone Developer Program not approving or releasing the Contest entry on the iTunes App Store before the Closing Date
• Service or connection problems during the judging process

By participating in the contest, you agree to completely indemnify and hold Appigo and its affiliates harmless from any expenses incurred in conjunction with the Contest, be it development, marketing, legal fees, unforeseen costs, etc.

Appigo has the sole right to cancel or suspend the contest or any portion thereof for any reason whatsoever that may corrupt the administration or security of the Contest.

Internet

If for any reason this Contest cannot be run as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Releasees which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, Appigo reserve the right, at its sole discretion, to cancel the Contest or modify these rules as necessary to enable the Contest bo be run. Appigo reserves the right to disqualify for any reason, any entry or any individual who tampers with the entry or judging process, and to cancel, terminate, modify or suspend the Contest. In the event of cancellation, Appigo reserves the right to select winners from all eligible entries received prior to cancellation. In the event of a dispute as to the identity of an entrant, the entry will be declared made by the authorized account holder of the email address submitted at the time of entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, Internet service provider or other organization (e.g. business, educational, institution, etc.) that is responsible for assigning email addresses associated with the submitted email address. Releasees assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission or communications line failure that results in Contest website and information inaccessible online. Releasees are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail to be received by Appigo on account of technical problems, human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to participant‚ Äôs or any other person‚ Äôs computer relating to or resulting from participation in this Contest or downloading any materials in this Contest. Any attempt to deliberately damage any website or undermine the legitimate operation of the Contest is a violation of criminal and civil laws and should such an attempt be made, Appigo reserves the right to seek damages or other remedies from any such person(s) responsible for the attempt to the fullest extent permitted by law.

Submission Agreement

By submitting an entry, each participant represents that the Entry submitted (including the application itself and details) is the original work of participant. Appigo assumes no responsibility for disputes between persons claiming authorship of the Entry. Each participant further represents that use thereof does not infringe third party rights, is suitable for publishing and the right to submit it is not restricted by copyright. Entry cannot defame, disparage or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person's personal or proprietary rights.

Entries must comply with the following content guidelines to be eligible:

• Application may not promote any activity that may appear unsafe or dangerous, or any particular political agenda or message;
• Content may not be obscene or offensive, endorse any form of hate or hate group;
• Content may not defame, misrepresent or contain disparaging remarks about Sponsors, or other people, products or companies;
• Content may not contain materials embodying the names, likenesses, photographs, or other indication identifying any person, living or dead, without permission;
• Content may not communicate messages or images inconsistent with the images to which Appigo wishes to associate.

Participant agrees to the use of their Entry by Appigo in any way Appigo deems appropriate, at no additional cost to licenses, including, but not limited to: Public distribution to third parties; sales to third parties; granting and/or assigning to Appigo of any and all right, title or interest in any copyrights of Participant in the Entry, with full legal cooperation by Participant, and with no additional compensation to Participant for such; and allowing Appigo assigning of these or other rights to third parties. Entries must be suitable for mention in a public forum (as determined by Appigo in its sole discretion), and may not reflect negatively on Appigo or its products. Entries not complying with all rules are subject to disqualification at Appigo's sole discretion. Appigo shall have right to post, use, broadcast, display, publicly perform, alter, edit, assign, or dispose of such Entries in whole or in part however it sees fit in any and all media without limitation as to time or territory without approval of participant. Entries received that are illegible, incomplete, or are not submitted following the instructions at http://www.appigo.com/developer/contest/submit will be disqualified. Entries that do not comply with these Official Rules will not be eligible.

Applicable Law

To the extent permitted by applicable law, the Contest and its rules are governed by laws of the State of Utah. The Contest is subject to all applicable laws, rules and regulations.

Privacy and Personal Information

This contest is subject to Appigo's Privacy Policy posted at http://www.appigo.com/company/privacy. Personal information collected from participants will be used by Appigo for the purpose of administering the Contest. The data may also be used to verify their eligibility to participate and receive a prize. Appigo shall not sell, share, or otherwise disclose personal information of the participants with third parties without your permission.

In the event of any discrepancy between the privacy policy and these Official Rules, the privacy policy shall control and govern.

Copyrights and Trademarks

The contents of the Todo and Todo Lite are subject to protection under U.S. and foreign copyright laws. You are not permitted to use the copyrighted content outside of the normal functions of these Applications without the prior written consent of Appigo.

Apple, the Apple logo, iPod, iPod touch, and iTunes are trademarks of Apple Inc., registered in the U.S. and other countries. iPhone is a trademark of Apple Inc. App Store is a service mark of Apple Inc. All other marks and names mentioned herein may be trademarks of their respective companies.
